How can we help you?

Below is a list of the most frequently asked questions.

Becoming an Air Liquide shareholder

Who can become a shareholder?

Everyone! Whether you are an individual or a legal entity, an adult or a minor, French or non-French tax resident.

As soon as you own one share, you are an Air Liquide shareholder.

Would you like to open a securities account for yourself or your child? Would you like to open a joint account? Discover all the formalities in our dedicated page.

How to become a shareholder?

To open a securities account and buy your first shares, you have two options:

  • Buy shares from your financial institution
  • Buy shares directly from Air Liquide. No account management fees apply. By placing your stock orders online, you also benefit from the reduced brokerage rate of 0.10% before tax. Read our dedicated page to find out how to open a securities account with Air Liquide

To understand the various shareholding options as well as their characteristics and advantages, please consult our dedicated Factsheet on the subject.

Shareholding options

(Direct registered, Intermediary registered or Bearer)

What are the different shareholding options and their advantages?

Are you having difficulty choosing between direct registered shares, intermediary registered shares or bearer shares?

Our dedicated Factsheet presents an overview of the characteristics and advantages of each of the three shareholding options.

How can I tell if my shares are direct registered, intermediary registered or in bearer form?

If you purchased your shares directly from Air Liquide, your shares are direct registered shares and Air Liquide is your account manager.

If you purchased your shares from your financial institution, your securities are bearer shares by default or intermediary registered shares if you completed the necessary formalities with your bank.

Our dedicated Factsheet presents an overview of the characteristics and advantages of each of the three shareholding options.

Note that each time you buy further shares from your financial institution, your new securities are held in bearer form. It is your responsibility to initiate the necessary formalities to convert your bearer shares to intermediary registered shares in order to benefit from the loyalty bonus after two full calendar years. You can download the conversion request form here or complete an online version if your bank offers this service.

If you are an intermediary registered shareholder or a bearer shareholder, your financial institution remains your point of contact.

What is a value code?

Your Air Liquide shares are divided into four "value codes" (or ISIN codes) that you can use to check your eligibility for the loyalty bonus. If you hold direct registered shares, these codes can be found on your account documents accessible in your personal online Account.

For further information please read our dedicated Factsheet.

My shares are held in a share savings plan

Shares held in a share savings plan are bearer shares by default. If you would like to benefit from the advantages of registered shares, ask your financial institution to convert your shares to intermediary registered shares using this form or complete an online version if your bank offers this service.

To benefit from the loyalty bonus as of 2023, your securities must be converted before December 31, 2020. This allows you to maintain the tax benefits of a share savings plan and also benefit from Air Liquide's loyalty bonus.

Please note that as Air Liquide does not have financial institution status, it cannot offer cash accounts. It is therefore not possible to open or transfer a direct registered share savings plan to Air Liquide.

How can I convert my shares into intermediary registered form?

If you are a Bearer shareholder and would like to benefit from the advantages of registered shares, ask your financial institution to convert your shares to intermediary registered shares using this form or complete an online version if your bank offers this service. To benefit from the loyalty bonus as of 2023, your securities must be converted before December 31, 2020.

Please consult your financial institution regarding any conversion fees that may apply.

How can I transfer my shares into direct registered form?

If you are a bearer shareholder or intermediary registered shareholder (excluding share savings plans), you may transfer your shares held in your financial institution to a direct registered form. Air Liquide then becomes your account manager. To do so, send this form to your bank.

Please consult your financial institution regarding any transfer fees that may apply.

The day-to-day running of my Air Liquide securities account

(Direct registered shares)

What is an "Account agreement"? Why is it necessary?

When you open a direct registered securities account, Air Liquide requires you complete and sign an Account agreement, in accordance with Article L. 322-67-4 of the General Regulations of the French financial market authority (Autorité des marchés financiers). This document includes all of the contractual commitments between you and Air Liquide. This Agreement also allows you to place stock orders online through your personal online Account and thus benefit from a reduced brokerage rate of 0.10% before tax instead of 0.18% before tax*.

* Brokerage rate of 0.18% before tax for orders placed by telephone, email or mail.

What are the advantages of providing you with my email address?

Providing us with your email address simplifies the formalities to activate your personal online Account. You may also choose to receive information from us by email: financial information, invitations to events, competitions, etc.

If you would like to register your email address send us your request using our Contact form > “Updating personal details” section along with a copy of your ID.

If you would like further information regarding the advantages of your personal online Account, please read our dedicated Factsheet.

How can I access my account-related documents?

All documents relating to your account can be accessed in the "My Document library" section of your personal online Account: Securities account statement, tax reporting form, dividend payment letter, Market transaction statements, etc.

How can I consult the number of shares I own?

For real-time access to the number of shares owned and those carrying loyalty bonus rights, please consult the "My Portfolio" section of your personal online Account.

At the beginning of each year, Air Liquide also issues your Securities account statement as at December 31 of the previous year. This document states the number of shares that you own as well as those eligible for the loyalty bonus.

Please note that for security and confidentiality purposes, our Advisors are not authorized to communicate by telephone the number of shares owned.

Where can I find my account history?

You have direct access to all documents related to your account issued since 2010 in the "My Document library” section of your personal online Account. You can also download a copy of your account status at the date of your choice in the "My Portfolio" section.

How can I transform my individual account into a joint account?

If your securities account is in your name only, you can ask for it to be transformed into a joint account to add your spouse’s name. To do so, please complete and sign this form and send it to us using the contact form “My Procedures”> “Other requests” section along with a copy of both your and your spouse’s ID.

Please note that depending on your matrimonial property regime, transforming an individual account into a joint account may be considered as an indirect gift by the tax authorities. We advise you to consult your legal advisor for further information.

How can I appoint a proxy for my account?

You may appoint a proxy to help you manage your securities account. Please complete and sign this form, have the person you have appointed as your proxy sign the form, and send it to us accompanied by the documents requested. Your proxy will then be able to access your account, update your contact details and place purchase or sale orders. The proxy, however, will not be able to pay for purchase orders or receive any amounts from a sale. These amounts will be charged to the bank account linked to your account.

I am the legal representative of a minor

As the legal representative of a minor, and upon receipt of the completed and signed Account agreement, Air Liquide will send you the shareholder ID for the direct registered shareholders account that you manage by mail. This shareholder ID will allow you to activate the personal online Account and thus manage the minor’s securities account online. Via this personal online Account you can view the stock portfolio, place stock orders, change your contact details, etc.

For further information please read our dedicated Factsheet.

Note: once the minor turns 18, he or she will receive an Account agreement in their name to complete, sign and return to us.

I manage the assets of a protected adult

If you wish to inform us of this new status, please send the following documents via the contact form  “My Procedures”>”Curatorship/Tutelage” section:

  • a copy of the court order,
  • a copy of your ID,
  • proof of address.

Once your request has been approved, you will receive an account status at the date of the ruling.

You will then be able to access the account, change the contact details, place orders, etc.

How can I close my securities account?

Your account is automatically deactivated once you have sold all of your shares. You do not have to do anything. Air Liquide shareholders do not pay handling or management fees. You may reactivate your account at any time by buying one or more shares. To do so, retain your account information (shareholder ID, email address and access code for your personal online Account) and place an order via your personal online Account

Once your purchase order has been executed, you will receive an email and a transaction statement is available within 48 hours in the "My documents" section of your personal online Account. If your order falls through, you will receive an email confirming that the order has been abandoned.

Note, if you have not provided an email address, a transaction statement is sent by mail a few days after your order has been executed.

If you are an intermediary registered shareholder or a bearer shareholder, your financial institution remains your point of contact.

How do I cancel a purchase or sale order?

If you are a direct registered shareholder, only limit price orders that are not executed may be canceled. To do so, log in to your personal online Account, go to the "Place an order" section and then click on the "Review" tab. Select the order that you would like to cancel and click on "Cancel order" then "Validate".

If you are an intermediary registered shareholder or a bearer shareholder, your financial institution remains your point of contact.

How do I pay for my purchase orders?

If you are a direct registered shareholder, you can pay for your purchase orders by direct debit, bank card or bank transfer:

  • By automatic direct debit from your bank account: please sign a direct debit authorization beforehand. To do so, you have two options:

Once your purchase order has been executed, the transaction statement — which includes the amount of your purchase and the bank details necessary to make your payment — can be found in your personal online Account in the "My Document library" section. If you have not provided an email address, a transaction statement is sent by mail a few days after your order has been executed.

Note that if you place your order via your personal online Account, you will benefit from a reduced brokerage rate of 0.10% before tax instead of 0.18% before tax, for both purchase orders paid in full by SEPA automatic debit (for accounts domiciled in the SEPA zone only) or by bank card and for sell orders.

If you hold intermediary registered shares or bearer shares, you must place your purchase orders directly with your financial institution.

Can I pay for purchase orders using the account of a third party?

The shareholder themselves must pay for purchase orders. Payment of these orders by a third party is regarded by the tax authorities as a gift.

I would like to sell some shares. How do I calculate my capital gain?

The capital gain on the sale of a share corresponds to the difference between the sale value and its Average Unit Price or "purchase price."

If you are a direct registered shareholder, the Average Unit Price or "purchase price" of your securities and their capital gains are available in your personal online Account in the "My Portfolio" section > “Portfolio details display."

The Average Unit Price of your shares is the average by value code* of the acquisition prices of your shares: purchase price, value applied at the time a gift is made or an estate settled, free shares (value of €0).

If you are an intermediary registered shareholder or a bearer shareholder, your financial institution remains your point of contact.

*Your Air Liquide shares are divided into four "value codes" (or ISIN codes) that you can use to check your eligibility for the loyalty bonus. If you hold direct registered shares, these codes can be found on your account documents accessible in your personal online Account.

How to place an order on an account with dismembered ownership (co-ownership or usufruct and bare ownership)?

If you are a direct registered shareholder and wish to place a purchase order on an account with dismembered ownership (co-ownership or usufruct and bare ownership), please send us the following, using the contact form “Stock orders” > “Place an order” section:

  • A joint or separate letter, signed and dated by all the account holders, which details the number of securities to be sold and the type of order
  • A copy of both sides of valid ID for each account holder

The amount from the sale will be paid to the primary account holder (primary joint owner or primary bare owner). If you would like the amount to be paid to a specific bank account, please state this clearly on the sell order and attach a copy of the relevant bank details.

To place a purchase order, please contact Shareholder Services. Find the contact information at the bottom of this page.

Dividend

What are dividends and how can I receive them?

The dividend is the portion of the Group’s net profit that is distributed to shareholders.

The amount of these dividends is subject to shareholders’ approval during the Annual General Meeting. At Air Liquide, once voted upon, the dividends are paid once a year into your bank account, usually in May.

You do not have to do anything to receive your dividends.

  • For direct registered shares, the dividend, net of any withholdings*, are paid by Air Liquide directly into your bank account. Please check that your bank details are up to date in the "My Profile" section of your personal online Account.
  • If you hold intermediary registered shares or bearer shares, Air Liquide distributes the gross dividend to your financial institution, which will then credit your account with the dividend, net of any deductions*.

If you hold your registered shares for more than two full calendar years, the loyalty bonus gives you the right to a 10% increase in the dividend.

For further information please read our dedicated Factsheet.

* When a shareholder receives dividends, a 30% withholding is deducted: 17.2% in social security contributions and 12.8% for the advance tax withholding, unless you request exemption from this advance withholding.

How can I receive a loyalty bonus on my dividends?

If you are a registered shareholder, to benefit from the loyalty bonus you must:

  • Hold your shares in direct registered form or in intermediary registered form
  • Hold them for more than two full calendar years
  • Still be the owner of these shares on the dividend payment date

If you are a bearer shareholder and transfer or convert your shares to registered form before December 31, 2020, you will be eligible for the loyalty bonus as of 2023.

For further information please read our dedicated Factsheet.

How can I automatically reinvest my dividends in shares?

At Air Liquide, your dividends are not automatically reinvested.

If you are a direct registered shareholder and wish to reinvest your dividends in shares, you have three ways of placing a purchase order:

  • Online, via your personal online Account, in the "Place an order" section;
    By using our contact form > "Stock order" then "Place an order" and attaching this completed and signed form and a copy of your ID to your request;
  • By telephone with one of our advisors by calling the toll-free number, 0800 166 179 from France or +33 (0)1 57 05 02 26 (from outside France), and selecting option 3 when prompted;
  • By mail, by sending this completed and signed form and a copy of your ID to Air Liquide - Shareholder Services - TSA 91948 - 62978 Arras Cedex 09.

Please note that to reduce processing times, we recommended using your personal online Account to place stock orders directly. You will also benefit from the reduced brokerage rate of 0.10% before tax instead of 0.18% before tax.

If you are an intermediary registered shareholder or a bearer shareholder, you may reinvest your dividends directly from your securities account or share savings plan held by your financial institution.

How are my dividends taxed?

Your dividend is income to be declared in the year following the payment.

When your dividends are paid, social contributions of 17.2% are withheld, as well as an advance income tax withholding of 12.8% (unless you request an exemption, see following question).

The following year, after completing your tax return, the tax due on your dividend is calculated and will take into account the deductions that have already been made.

For further information please read our dedicated Factsheet.

What is the exemption from the advance withholding on dividends and how can I benefit from it?

In France, when a shareholder receives dividends, a 30% withholding is collected: 17.2% for social contributions and 12.8% for the advance tax withholding.

You may request an exemption from this 12.8% advance withholding payment if your reference taxable income (stated in the tax notice for income received this year) is less than:

  • 50,000 euros if you are single;
  • 75,000 euros for a couple filing jointly.

If you are a direct registered shareholder and wish to request an exemption from the advance withholding on your dividends that you will receive in 2021, you must send us your request via the "My online formalities" section of your personal online Account between September 1 and November 30, 2020.

If you own intermediary registered shares or bearer shares, please contact your financial institution.

For further information please read our dedicated Factsheet.

I do not live in France. What taxes are withheld on my dividends?

A statutory rate of at least 12.8% is withheld by your account manager when a dividend is paid. If the standard rate between France and your country of residence is less than 12.8% and you have already provided your account manager with a certificate of tax residence, the reduced taxation rate applicable in your country of residence is applied.

For further information please read the "Residents outside France" section of our dedicated Factsheet.

I have not received my dividend.

If you are a direct registered shareholder and have not received your dividend payment, there could be several reasons:

  • Your bank details are not up to date: check that your bank details are correct in the "My Profile" section of your personal online Account and request the change online if necessary. If you changed your bank details a few days before the dividends were paid, it is possible that the bank transfer was not made to the new account. If this is the case, please contact us using the contact form “Dividends” > “Dividend not received” section.
  • You were not the owner of the share(s) when the dividend was paid. For further information regarding the dividends calendar please read our dedicated Factsheet.

If you are an intermediary registered shareholder or a bearer shareholder: your financial institution remains your dedicated point of contact for all questions regarding the payment of your dividend.

Loyalty bonus

What is the loyalty bonus and how can I benefit from it?

To thank our registered shareholders for their loyalty, we offer an additional +10% on the dividend amount and on the number of free shares during attributions.

This bonus automatically applies to shares held in registered form for at least two full calendar years.

If you are a bearer shareholder, act right now and convert your securities before the end of the year so that you can benefit from the loyalty bonus as quickly as possible. Shares converted to registered form before December 31, 2020, will be eligible for the loyalty bonus as of 2023.

For further information please read our dedicated Factsheet.

How can I tell if my shares are eligible for the loyalty bonus?

If you are a registered shareholder, shares which are eligible for the loyalty bonus have the following value code: FR0000053951.

Consult your eligibility for the loyalty bonus in the "My Portfolio" section > "Rights for loyalty bonus display" in your personal online Account.

Free share attribution

What is the free share attribution and how can I benefit from it?

Air Liquide regularly attributes free shares to all its shareholders.

The October 9, 2019, free share attribution, based on one free share for every 10 shares held, is the 30th in Group history.

To benefit from this free share attribution, you do not have to do anything. The new shares will be automatically added to your portfolio and you will then receive any fractional rights in your bank account.

Note: if your shares are eligible for the loyalty bonus, then the newly acquired shares will also be eligible for this advantage. These new shares have the same characteristics as the shares from which they issue (same value code), and therefore you will not be able to differentiate between them.

If you hold your registered shares for more than two full calendar years, the loyalty bonus gives you a 10% increase in the number of free shares you will receive (according to the conditions set out in Air Liquide's articles of association). For example, in the 2019 attribution, one free share was given for every 10 shares held, each shareholder who owned 100 shares in registered form acquired before January 1, 2017, received 10 + 1 = 11 new shares.

For further information please read our dedicated Factsheet.

What is a fractional right?

If the number of shares you hold is not a multiple of the attribution transaction, you will receive a cash payment for the portion of the free share that cannot be distributed. This is known as a "fractional right" and is paid directly to your bank account.

Tax return

Dividends: what should I declare?

If you are a French resident for tax purposes, your dividends are income that must be declared the year after it is paid.

When your dividends are paid, social contributions of 17.2% are withheld, as well as an advance income tax withholding of 12.8% (unless you request an exemption).

The following year, after completing your tax return, the tax due on your dividends is calculated and will take any amounts already withheld into account.

For further information please read our dedicated Factsheet.

I have received fractional rights: what should I declare?

Fractional rights received from a free share attribution must be declared as a capital gain on disposal, without applying a deduction.

I have sold securities: what should I declare?

A "capital gain" is the profit made on the sale of a security and corresponds to the difference between the sale value and its Average Unit Price or "purchase price."

This capital gain must be declared on your income tax return.

Please read our dedicated Factsheet to understand the calculation method and discover the exemptions possible.

Where can I find the information necessary to calculate the capital gain on the sale of my shares?

If you are a direct registered shareholder, the Average Unit Acquisition Price or "Unit Cost" of your shares and their capital gains are available in your personal online Account in the "My Portfolio" section > "Portfolio details display."

Note:

  • The Average Unit Acquisition Price of your shares is the average by value code of the acquisition prices of your shares: acquisition price, value applied at the time a gift is made or an estate settled, free shares (value of €0).
  • The capital gain on the sale of a share corresponds to the difference between the sale value and its Average Unit Acquisition Price or “Unit Cost."

I do not live in France, are my dividends and capital gains taxed in France?

A statutory rate of at least 12.8% is withheld by your account manager when a dividend is paid. If the standard rate between France and your country of residence is less than 12.8% and you have already provided your account manager with a certificate of tax residence, the reduced taxation rate applicable in your country of residence is applied.

For further information please read the "Residents outside of France" section of our dedicated Factsheet.

No deduction is made from the amount of the sale of your shares by your account manager.

It is your responsibility to contact your country’s tax authorities to determine the procedure for declaring this income.

Passing on shares

How can I pass on my shares (shared gift, simple gift, hand-to-hand gift)?

Would you like to pass on your Air Liquide shares to your loved ones?

Discover your options and possible exemptions in our dedicated Factsheet.

If you are a direct registered shareholder, click here to access the hand-to-hand gift form.

How can I gift shares (customary gifts)?

Customary gifts are a way of gifting Air Liquide shares for a special occasion (Christmas, exams, birthdays, weddings, etc.). Their value must remain reasonable in relation to the financial situation of the grantor and you are not required to declare the gift to a notary.

Note that the loyalty bonus is maintained if the gift is made to a spouse or relative entitled to inherit.

For further information regarding the necessary formalities, please read our dedicated Factsheet.

If you are a direct registered shareholder, click here to access the customary gifts form.

Can I buy shares using my children or grandchildren’s account?

The account holder themselves must pay for purchase orders. Payment of these orders by a third party is regarded by the tax authorities as a gift.

Would you like to give shares to your children or grandchildren? For further information please read our dedicated Factsheet.

What is a co-ownership account ?

A co-ownership account is a collective securities account on which no transactions can be carried out without the authorization of all co-owners.

Can I pass on my securities and continue to receive the dividends on these shares?

Yes, via a simple gift or inter-vivos donation, opting for "distribution with reserve of usufruct." In this way, you transfer the bare ownership but maintain the usufruct. In other words, you continue to receive dividends, vote and take part in the Annual General Meetings. If the donation is made to a spouse or relative entitled to inherit, the loyalty bonus is maintained.

Note that an inter-vivos distribution donation allows you to transfer a greater number of securities than through a fully-owned donation while remaining below the taxable threshold. Bare ownership is valued based on the age of the beneficial owner. Your notary or legal advisor should remain your key advisor on this subject.

For further information regarding tax breaks on donations please read our dedicated Factsheet.

Inheritance

How is an inheritance processed?

In the event of the death of a direct registered shareholder, please send us as soon as possible by our Contact form “Inheritance” > “Declaring a inheritance”section:

  • A photocopy of the death certificate
  • The contact details of the notary or attorney responsible for managing the inheritance

We will then contact the notary or attorney to provide a position of the account(s) at the date of death. Once the notary or attorney has collected all the information relating to the estate of the deceased, they will process the inheritance and send us:

  • A statement including the matrimonial property regime of the deceased, the names of the beneficial owners and the number of securities that should be attributed or sold to them
  • A copy of the inheritance declaration form to revalue the securities

Air Liquide Shareholder Services will then execute the instructions provided by the notary or attorney or by the agent responsible for the inheritance.

For intermediary registered shareholders or bearer shareholders, the financial institution of the deceased remains the point of contact.

I have become a shareholder of a co-ownership account. What does that mean?

This means that you have become the co-owner of a collective securities account on which no transactions can be carried out without the authorization of all co-owners.

I have become a shareholder of a bare ownership/usufruct account. What does that mean?

This means that you have become the owner of an inter-vivos trust account, either as a beneficial owner or as a bare owner:

  • The beneficial owner has the right to receive dividends, vote and take part in Annual General Meetings
  • The bare owner has the right to sell securities with the consent of the beneficial owner and receive the proceeds from their sale.

The beneficial owner and the bare owner thus have, for the same securities account, distinct rights. Upon the death of the beneficial owner, the bare owner acquires full-ownership of the portfolio without any inheritance tax.

How long does an inheritance take to process?

Processing time depends on how quickly the notary or attorney sends the required information.

For direct registered shareholders, once this information has been received, Shareholder Services shall process the attorney’s instructions within an average time frame of 15 days.
